Ray of Daylight Organization – Official Terms & Conditions

Effective Date: December 2, 2025 | Governing Law: Laws of Kenya

1Introduction

These Terms and Conditions govern all activities related to the Ray of Daylight online art auction, including submission of artworks, bidding, sales, payments, and proceeds distribution.

By submitting art, placing a bid, or participating in the auction, you agree to these Terms and Conditions.

Ray of Daylight CBO reserves the right to update or modify these terms at any time.

2Eligibility

To participate as a donor, bidder, or buyer, you must:

  • •Be at least 18 years old
  • •Provide accurate contact information
  • •Agree to these terms

3Artwork Submission (Donors/Artists)

3.1 Ownership & Copyright

By submitting artwork, you confirm that:

  • •You are the rightful owner or creator of the artwork.
  • •The artwork does not infringe on any copyright, trademark, or third-party rights.
  • •You grant Ray of Daylight the right to display, market, auction, and sell the artwork.

3.2 Approval

Ray of Daylight may accept or reject any artwork for any reason, including:

  • • Quality
  • • Appropriateness
  • • Relevance to the auction
  • • Concerns about ownership or copyright

Submission does not guarantee inclusion in the auction.

3.3 Delivery

Donors must deliver the approved artwork to the location communicated by Ray of Daylight. Failure to deliver may result in removal from the auction.

3.4 Revenue Split

If the artwork is sold, proceeds will be split as follows:

20%
Donor/Artist
10%
System/Operations
70%
Charity Programs

3.5 Payout Timeline

Donor payouts will be processed within 7–14 business days after the buyer completes payment.

4Bidding Terms

4.1 Binding Bids

Every bid placed is a legally binding commitment to purchase the artwork at the amount submitted if you are declared the highest bidder.

4.2 Bid Acceptance

Ray of Daylight reserves the right to:

  • •Accept or reject any bid
  • •Determine the winning bidder
  • •Cancel or re-open bidding if necessary

4.3 Bidder Responsibilities

Bidders must:

  • •Provide accurate contact information
  • •Pay the full amount within 48–72 hours after receiving a payment link
  • •Cover delivery or pickup costs unless otherwise stated

4.4 Non-Payment

If a winning bidder fails to pay:

  • •Their bid may be cancelled
  • •The artwork may be offered to the next highest bidder
  • •They may lose future bidding privileges

5Payment

5.1 Payment Methods

Ray of Daylight accepts payments through:

  • •Paystack (Mobile Money, Card, Bank Transfer)
  • •Direct bank transfer to Ray of Daylight CBO account

No cash payments are accepted for security reasons.

5.2 Payment Deadline

Winners must complete payment within 48–72 hours after the auction closes or receiving the payment link.

5.3 Receipts

Official receipts will be issued once payment is confirmed.

6Delivery & Pickup

6.1 Responsibility

The buyer is responsible for:

  • •Picking up the artwork
  • •OR paying for delivery to their location

Ray of Daylight will coordinate delivery but is not responsible for any damages during transport.

6.2 Condition of Artworks

Artworks are sold as-is. Ray of Daylight is not responsible for:

  • •Condition changes
  • •Frame wear
  • •Minor imperfections
  • •Color variations due to screens

7Returns & Refunds

No returns. No refunds.

All auction sales are final, except where required by Kenyan law.

8Fraud & Misconduct

Ray of Daylight may remove any donor, bidder, or buyer who:

  • •Submits false information
  • •Attempts fraudulent bidding
  • •Abuses staff or process
  • •Fails to comply with these terms

9Use of Proceeds

70% of proceeds go directly to:

  • • Ray of Daylight food programs
  • • Land purchase & community farm projects
  • • Underprivileged children & families

10% goes to:

  • • System maintenance
  • • Website hosting
  • • Operational logistics for collecting and handling artwork

20% is paid to the donor/artist.

10Limitation of Liability

Ray of Daylight CBO is not liable for:

  • •Loss or damage to artwork during donor delivery
  • •Damage during buyer pickup or transport
  • •Technical issues during online bidding
  • •Errors in submissions or bids
  • •Late, rejected, or lost payments due to third-party platforms

Liability is limited to the amount paid for an artwork.

11Privacy

Personal information is used only for:

  • •Auction communication
  • •Payment processing
  • •Delivery arrangements
  • •Reporting required for charity accountability

Ray of Daylight does not sell or share data with third parties.

12Governing Law

These Terms and Conditions are governed by the laws of Kenya.

Any disputes shall be resolved through negotiation and, if necessary, arbitration in Kiambu County.

13Acceptance of Terms

By:

  • •Submitting artwork
  • •Participating in the auction
  • •Placing a bid
  • •Completing a purchase

You agree to these Terms and Conditions.

14Ownership & Rights After Submission

14.1 Copyright Remains With the Artist

Submitting artwork to Ray of Daylight does NOT transfer the copyright of the artwork to the organization.

The donor/artist remains the full legal copyright holder, unless they choose to transfer it formally in writing.

14.2 Rights Transferred to Ray of Daylight (Limited License)

By submitting artwork, the donor grants Ray of Daylight a limited, non-exclusive, royalty-free license to:

  • •Display the artwork on the website
  • •Post it on social media
  • •Use it in marketing, promotion, and auction materials
  • •Sell the physical artwork (if it is the winning lot)

This license lasts until the artwork is sold or until the donor withdraws it in writing.

14.3 Ownership of the Physical Artwork

When the artwork is approved for auction and delivered to Ray of Daylight, the donor agrees that:

  • •Ray of Daylight holds physical possession of the artwork
  • •Ray of Daylight may sell the artwork if it receives a winning bid
  • •Once sold, the buyer becomes the physical owner of the artwork

The donor cannot request the artwork back after it has been sold.

14.4 Ownership of Digital Artwork

For digital artworks:

  • •Ray of Daylight is allowed to sell one physical or digital edition
  • •Copyright remains with the artist
  • •Buyer receives a print or digital copy, not copyright ownership

Unless the donor signs a separate copyright transfer.

14.5 Excess Print Rights

Ray of Daylight cannot create extra copies or reprints after the auction unless:

  • •The artist gives written permission
  • •A separate agreement is signed

This protects the donor's creative rights.

By participating in our auction, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
